Thank you for visiting the Umoo Site (the “Site”). This website is wholly owned and operated by Kernox Trading Inc, Omar Hodge Building P.O. Box 3163 Chambers, Road Town Tortola, British Virgin Islands (+357-24-644798). The Site allows subscribers or users ("you" or "User") to participate in a stock trading simulator game.  The Site may be used solely for entertainment and education.  Please carefully read these terms of use (the “Terms”). By registering for or using our Site, you thereby agree to the Terms.  By clicking "I accept" following these Terms, or by registering, accessing or transmitting information in connection with this Site, you accept the legally binding Terms set forth below, as well as the terms of our Privacy Policy.  If you do not agree to the Terms, you should exit our Site and not use or review any of the information that is posted on this Site.

Registration & Account Use.  You must be at least Eighteen (18)years old in order to register for use of the Site.  Notwithstanding the foregoing, if you reside in a state, country or other jurisdiction that requires a higher minimum age for your use of the Site or participation in its activities, you must comply with the applicable law. When you register with Umoo and set up your real account, you must:(i)         provide Umoo with accurate and complete information, including without limitation, your name, address, telephone number, a valid credit card number and any other necessary account information; and(ii)        update your account information with any new information within thirty (30) days of changes to such information. Further, you will not use false identities or impersonate any other person or use a name that you are not authorized to use. We encourage you to read our Privacy Policy for information about our policies and procedures regarding the collection, use and disclosure of personal information we receive. You represent and warrant that information provided in connection with registration is current, truthful and complete.    You are responsible for safeguarding and maintaining the confidentiality of your username, password and corresponding account information.  You agree not to disclose your password to anyone.  You agree that you are entirely and solely responsible for any and all activities or actions that occur under your Umoo account, whether or not you have authorized such activities or actions.  You hereby indemnify and, at our request, defend Umoo against all claims, losses, damages or other liabilities arising from or relating to activities or actions that occur under your Umoo account.  You agree to notify Umoo of any unauthorized use of your Umoo account or any other breach of security within (24) twenty-four hours of such use being known to you. In the event that your username or password is stolen, please notify Umoo immediately so that a new username or password can be created. You agree that you will not permit, enable, introduce or facilitate persons who do not have an account with Umoo to have access to, or use of the Site. We may terminate your account immediately and without notice if you do not comply with the Terms or if we believe your participation in the Site does not comply with applicable laws.

Intellectual Property Rights. Umoo owns the copyright in the Site and its content, including its overall appearance, graphics design and underlying source files. You may download or copy material from our Site, only for your own personal, non-commercial use. Any other use is forbidden. Except as permitted above, you may not reproduce (in whole or in part), transmit (by electronic means or otherwise), modify, create derivatives of, link into, frame or use for any public or commercial purpose the contents of this Site without the prior written permission of Umoo.
The entire contents of this Site are protected by copyright and/or other intellectual property rights. No copyright notices, other intellectual property or legal notices or other identifying information may be removed from downloaded materials.

Umoo’s name and other Umoo product names and logos referenced in this Site are trademarks of Umoo or its affiliates. Rights in marks and logos which appear on the Site are reserved to the owners thereof, and Umoo is not affiliated with and does not endorse such entities.  You may not separate from this Site, or copy or download separate from our Site, or otherwise use any of these trademarks or logos. Nothing contained in this Site should be construed as granting any license or right to use any of these trademarks or logos.

Financial Advice.  The Site does not offer financial advice of any kind.  The Site does not recommend stock trading or other forms of investment.  We recommend that you consult with qualified professionals prior to making actual investments or financial decisions.  Any information available through the site's Data Center, or suggestions or feedback presented by other users on discussion forums is not offered as financial advice, and should not be the basis for actual financial activities.  Any transactions you perform by means of the Site are simulations and do not constitute or reflect actual investments.

Legality; No Gambling.  Use of the Site in connection with gambling activities is strictly prohibited. You are responsible for verifying that use of the Site in your jurisdiction is permitted. If you have any questions regarding the legality of using the Site in your jurisdiction, please consult legal counsel. When you access, register for or use the Site, you do so at your own risk, and you are solely responsible for complying with all applicable rules and regulations in connection with activities relating to the Site. Residents of Arizona, Arkansas, Connecticut, Delaware, Florida, Illinois, Iowa, Louisiana, Maryland, Montana, South Carolina, South Dakota, Tennessee, Utah and Vermont may not participate in games requiring a cash entry fee ("Cash Competitions.") Should a resident of the above stated states, elect to participate in the money games at UMOO despite the restriction, their account will be permanently blocked and they will not be able to withdraw funds from their account.

Limitations on Participation.  You may establish only one account per person to participate in the activities offered on the Site. The Site reserves the right to monitor any effort to establish multiple accounts; in the event the Site discovers that you have opened more than one account per person all additional accounts will be closed without notice and continued violation will result in the termination of any and all of your accounts and Umoo may void any associated prizes. The Site also reserves the right to deny access to anyone, including, but not limited to, those players who use proxy servers and/or IP addresses residing in certain geographical areas. The Site may impose dollar amount limitations on the credit card transactions in which you engage to fund your activities on the Site. The Site may also impose limitations on the net dollar amount you may expend in connection with the Site in any calendar month; should your expenditures reach the designated limit, your participation in activities offered on the Site will be restricted until the beginning of the next calendar month. The Site reserves the right to change these dollar amount limitations at any time. The Site reserves the right to set expiration dates or other limits on all credits made available in connection with the Site and due to expire the credit balance of any dormant account. As used in these Terms, "credits" means any credit deposited by you or Umoo into an account, including, but not limited to, promotional credits, participation fee credits, accounting credits, prize credits, and gift credits. A dormant account shall be defined as any account that has been inactive for more than 180 days. Umoo  management decisions are final in all matters relating to the Site and activities related to the Site.

Fees.  Participation in certain Site activities is subject to participation fees.  You are solely responsible for any applicable taxes in your jurisdiction.

Prizes.  For certain Site activities, we will offer certain prizes to registered Users who in our discretion and based on our stored data are the best performers within the parameters described in rules posted on the Site. Prizes may be subject to withholding or other deductions in accordance with applicable law. You authorize Umoo to deduct any such amounts from the prize. You will need to provide Umoo with certain information in order to withdraw & collect prizes. You are responsible for any such information you provide. Your withdrawal options depend on your location and the deposit method you have chosen. You may be required to withdraw via the same method with which you deposited, note that withdrawals to credit/debit cards are not available. You hereby waive any claim you may have against Umoo in connection with Prizes.

Promotions and Bonus limitations. 

Use of Non-Personally Identifying Information. Subject to the provisions below in respect of personal identifying information, any communication or material that you transmit to Umoo through the Site, by electronic mail or otherwise, including any data, questions, comments, suggestions and the like, is, and will be treated as, non-confidential and non-proprietary information. Please do not transmit any confidential information to or through this Site. Umoo may use such communication or material for any purpose whatsoever including, without limitation, for disclosure, reproduction and publication. Umoo will be free, without any compensation to you, to use any concepts or know-how contained in any communication or material that you send to our Site for any purpose whatsoever.  In addition, Umoo will be free to use any non-identifying statistical information relating to the Site or use thereof without any compensation to you.

Use of Personally Identifying Information and Privacy Policy. Umoo will use your personally identifying information only for the purposes specified in its Privacy Policy. Please see Umoo’s Privacy Policy for further details on how information may be gathered by Umoo and used on this Site. You represent and warrant that you have reviewed the Privacy Policy and agree to its terms.  By registering for the Site, you grant of permission for Umoo to use your name, likeness, image, portfolio information and results without additional compensation.

To Whom We Disclose the Information. We will only sell or disclose your Personal Information to third parties in select circumstances as detailed in the following paragraph of this Privacy Policy. First, as noted in the Agreement, we may publicize the names, likenesses and other information concerning winners of the contests as we deem appropriate.

Second, we may disclose your Personal Information to contractors or service providers who may provide services or perform functions on our behalf, such as an information technology service provider. Those contractors and service providers are permitted to use your Personal Information only for the purpose for which it has been provided and may not disclose it to any other third party except at our express direction and consistently with this Privacy Policy.

Third, we may also disclose your Personal Information to our advertisers but only in an aggregated form that identifies participants' demographics. When we present the information in an aggregated form, those advertisers will be not be able to identify or contact you. However, if you click on an advertisement that appears on our site, you will be taken to a third-party website, whose privacy practices will govern any information so disclosed. Finally, we may share your Personal Information, as permitted by law, to both our affiliates and other non-affiliated third parties that offer products or services that we or they believe may be of interest to you.

Our Commitment to Security. We have put in place physical and electronic procedures to safeguard and help prevent unauthorized access, maintain data security.  We reserve the right to commence civil and criminal proceedings against unauthorized users of the Site, or in connection with activities not in compliance with these Terms or applicable law.  We reserve the right to monitor, view and record activities in respect of the Site without notice or permission from you.  Any such information may be accessed by law enforcement organizations.  We will comply with court orders with respect to requests for information. You agree that the Site is not responsible for any damage, loss or injury resulting from hacking, tampering or other unauthorized access or use of the Site or your account.  Any attempt to gain unauthorized use of the Site's systems or any account, interfere with procedures or performance of the Site, or deliberately damage or undermine the Site is prohibited and will result in termination of your account, forfeiture of any prize and civil and criminal prosecution. Links. Our Site may be linked to third party websites. Umoo has no control over the content or information posted on such third party websites and we do not assume and we expressly disclaim any responsibility or liability therefore. Third party websites may have terms of use and privacy policies that are different from those that apply to the Site. You should refer to these third party websites’ respective privacy notices and terms of use.

Emails & Correspondences.  By registering at the Site, you acknowledge and agree that we may send users emails relating to their account, transactions and Site promotions. You can opt out of your [subscription to Umoo.com e-mail services at any time by logging in to Umoo.com and selecting User Profile under the heading My Account. You can also unsubscribe to special promotional e-mails at any time by clicking on the unsubscribe link in any of our email communications

Use Guidelines.  You understand and agree that Umoo may review and edit or delete any messages, photos communications or other content (collectively, "Content") that in the sole judgment of Umoo, violate these Terms or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any User. You are solely responsible for the Content you submit and/or publish or display (hereinafter, "post") to the Site or any material or information you transmit to other Users. By posting Content on any public area of the Site, you automatically grant, as well as represent and warrant, that you have the right to grant to Umoo, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display and distribute such information and content and that Umoo has the right to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. The following is a partial list of the type of Content and activities that are illegal or prohibited on the Site. Umoo reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending Content from the Site and terminating the registration of each violator. Prohibited Content and activities include, but are not limited too:    Content that is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual o    Activity that harasses or advocates harassment of another person o    Transmitting "junk mail", "chain letters," or unsolicited mass mailing or "spamming".

Limitation of Liability; Disclaimers. Data available on the Site is for educational, entertainment and information purposes only.  Use of this information in violation of applicable laws is expressly prohibited.  Umoo does not endorse or recommend the services of any advertiser.  If you choose to patronize any of our advertisers, you do so at your own risk.  Umoo has made and will continue to make all reasonable efforts to include accurate and up-to-date information on this Site. However, Umoo cannot guarantee that the information posted on this Site is accurate, complete or suitable for any purpose and you should not rely on it for any decision or to take any action.  In addition, Umoo cannot guarantee that the content posted on this Site has not been affected by technical malfunctions or unauthorized tampering. Umoo does not guarantee that material on this Site will be free from infection, viruses, worms, Trojan horses and/or other code that has contaminating or destructive properties. It is your responsibility to take protective steps such as virus checking.

Umoo may alter or remove materials from this Site at any time. THE SITE AND RELATED SERVICES ARE  OFFERED ON AN AS-IS BASIS.  TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW, UMOO MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, WITH RESPECT TO THE USE OF THIS SITE OR ANY INFORMATION POSTED ON OR SERVICES OBTAINED THROUGH THIS SITE. IN NO EVENT WILL UMOO, ITS AFFILIATES, EMPLOYEES OR OFFICERS BE LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND WHATSOEVER RESULTING TO YOU OR TO ANY THIRD PARTY DIRECTLY OR INDIRECTLY FROM ANY USE OF THIS SITE OR DEFECT IN THIS SITE OR ANY INFORMATION CONTAINED IN THIS SITE, INCLUDING BUT NOT LIMITED TO CONSEQUENTIAL, PUNITIVE, INCIDENTAL OR OTHER INDIRECT DAMAGES.  IF THE FOREGOING LIMITAITON OF LIABILITY IS NOT ENFORCEABLE, LIABILITY OF UMOO IN CONNECTIO WITH THE SITE, USE THEREOF OR ANY PRIZE UNDER ANY LEGAL THEORY IS LIMITED TO THE AMOUNT OF PARTICIPATION FEES PAID BY THE USER IN THE RELEVANT SIMULATION.
BY USING THIS SITE, YOU EXPRESSLY ASSUME ALL RISK THAT THE INFORMATION AND MATERIALS ON THIS SITE MAY BE INCOMPLETE, INACCURATE, OUT-OF-DATE, OR MAY NOT MEET YOUR NEEDS OR REQUIREMENTS. The Site is nor responsible for any loss caused by unauthorized use of your credit card or other method of payment.  Any attempt to defraud the Site through use of credit cards or other methods of payment, or failure to honor legitimate charges, will result in termination of your account, forfeiture of prizes and criminal and civil prosecution.  Some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. You are responsible for checking your local laws for any restrictions or limitations regarding the exclusion of implied warranties. You will indemnify and hold harmless Umoo, its affiliates, and any of their respective officers, directors, and employees, from and against any and all damages, judgments, settlements, penalties, costs and expenses (including attorneys’ fees) paid or incurred in connection with claims due to, resulting from or arising in connection with your use of this Site or breach of this Agreement.

No Class Action.  BY REGISTERING FOR THE SITE, YOU ARE GIVING UP ANY RIGHT YOU MIGHT HAVE TO COMMENCE OR PARTICIPATE IN ANY CLASS OR GROUP LITIGATION OR PROCEEDING AGAINST THE SITE, its affiliates, and any of their respective officers, directors, and employees.

You understand that, in return for your agreement to this section and the other provisions of these Terms, Umoo is able to offer the Site activities at the terms set out herein, and that your assent to this provision is an indispensable consideration to this Agreement.

Revision and Update of Terms. Umoo may revise the Terms at any time without notice by updating this Site. All updates to the Terms will be posted on this page. You are bound by any revisions or updates. You should periodically visit these Terms to review the current terms that apply to your use of our Site. Last update: May 1st, 2008.

Survival, Waiver.  The Terms shall survive any termination of your account or any termination of this agreement.  Failure to insist on compliance with the Terms shall not constitute a waiver thereof.

Entire Agreement.  These terms constitute the entire agreement between Umoo and you with respect to the Site.  However, you may be subject to additional terms of third parties who may provide information or services by means of the Site.

Governing Laws; Jurisdiction. The Terms are governed and interpreted pursuant to the laws of the British Virgin Islands, notwithstanding any principles of conflicts of law. If you access this site from another jurisdiction, you are responsible for ensuring compliance with any local laws relating to access and use of this Site.  You hereby consent to the jurisdiction of the qualified courts operating in the British Virgin Islands.

Severability.  If any provision of these Terms is held to be invalid, illegal or unenforceable for any reason, such provision shall be deemed modified so that it is an enforceable provision that most closely approximates the parties' intent. If any clause of this Agreement is determined void or invalid by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect.

Inactive Account Fees. If you do not access your UMOO account by logging in to UMOO using your account name and password and either
(i) entering a Real game/tournament with a cash entry fee, or
(ii) making a cash deposit,
for any consecutive period of 180 days, then after those 180 days (the 'Grace Period') your account will be deemed 'Inactive'. Once your account has been deemed 'Inactive' we will be entitled to charge you an administrative fee (the 'Inactive Account Fee'). The Inactive Account Fee of $3 US per day will be deducted from your Real account balance on the day following the end of the Grace Period and then every thirty (30) days thereafter. We will stop deducting the Inactive Account Fee from your account balance if your account is re-activated by entering a Real game/tournament, or by making a cash deposit.
